Do I need a licence to operate an equity crowdfunding platform in India?

India does not currently have a standalone SEBI “equity crowdfunding licence” equivalent to some Gulf regimes in the official material checked for this build. A platform facilitating equity fundraising must instead fit India’s existing companies and securities-law routes, and SEBI’s 2014 crowdfunding paper was a consultation rather than a final dedicated licence regime.

This means founders should not interpret the absence of a crowdfunding licence as permission to offer shares to the public through an unregulated marketplace.

The fundraising structure, investor solicitation, private-placement/public-offer rules and any intermediary activity must be analysed under the applicable securities framework.

Regulator: SEBI / Ministry of Corporate Affairs framework as applicable

Primary sources: SEBI — Crowdfunding Consultation Paper (2014)

Directional — not legal advice. Verify with the regulator before committing.
